1. Introduction

Welcome to FluxFrontier. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and FluxFrontier Pty Ltd (ABN:13690569423), a company registered in Victoria, Australia.

By continuing to use our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications.

2. Services Provided

FluxFrontier provides AI-powered automation solutions and consulting services designed to help Australian businesses streamline operations, improve efficiency, and maintain compliance. Our Services include, but are not limited to:

  • LegalFlow: AI-driven legal automation platform for contract management, review, and compliance workflows
  • VBPC Compliance: Automated compliance tracking and reporting for Victorian Building Permits
  • AI Strategy Consulting: Strategic advisory services for implementing AI and automation solutions
  • Custom Automation Tools: Bespoke AI-powered tools including lead qualification, booking assistants, and receptionist services
  • Integration Services: Implementation and integration of automation solutions with existing business systems

The specific features, functionality, and availability of Services may vary depending on your subscription plan or service agreement. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

3. Changes to Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to our website unless otherwise specified.

We will make reasonable efforts to notify you of material changes to these Terms by:

  • Sending an email notification to your registered email address
  • Displaying an in-app notification when you next access our Services

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of our Services immediately.

Our Privacy Policy forms part of these Terms and should be read in conjunction with this document. If there is any inconsistency between these Terms and the Privacy Policy, the Privacy Policy will prevail to the extent of the inconsistency.

6. User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services:

  • In any way that violates any applicable Australian federal, state, or local law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate FluxFrontier, our employees, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm FluxFrontier or users
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, servers, or networks
  • To attack our Services via a denial-of-service attack or distributed denial-of-service attack
  • To use any robot, spider, scraper, or other automated means to access the Services without our express written permission
  • To reverse engineer, decompile, or disassemble any aspect of our Services
  • To use the Services to store or transmit infringing, libelous, or otherwise unlawful content

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

7. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and the "look and feel") are owned by FluxFrontier, its licensors, or other providers of such material and are protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes. This license does not include any right to:

  • Resell or make commercial use of the Services or their contents
  • Collect and use any product listings, descriptions, or prices
  • Make derivative uses of the Services or their contents
  • Download or copy account information for the benefit of another party
  • Use any data mining, robots, or similar data gathering and extraction tools

You retain ownership of any content, data, or materials you submit to or through the Services ("User Content"). By submitting User Content, you grant FluxFrontier a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services to you.

The FluxFrontier name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FluxFrontier or its affiliates. You must not use such marks without our prior written permission.

8. Third-Party Services

Our Services may contain links to third-party websites, applications, or services ("Third-Party Services") that are not owned or controlled by FluxFrontier. We may also integrate with Third-Party Services to enhance functionality.

FluxFrontier has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third-Party Services. You acknowledge and agree that FluxFrontier shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any Third-Party Services.

We strongly advise you to read the terms and conditions and privacy policies of any Third-Party Services that you access or use. Your interactions with Third-Party Services are solely between you and the third party.

The inclusion of any link to Third-Party Services does not imply endorsement by FluxFrontier. We reserve the right to disable links to Third-Party Services at any time without notice.

9. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Circumstances that may result in termination include, but are not limited to:

  • Violation of these Terms or our policies
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees or charges
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Discontinuation or material modification of the Services
  • Technical or security issues

You may terminate your account at any time by contacting us at info@fluxfrontier.com.au or through your account settings if available.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination does not relieve you of any obligations to pay outstanding fees or charges incurred prior to termination. We are not obligated to provide refunds upon termination unless required by law.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Victoria, Australia.

You irrevocably agree that the courts of Victoria, Australia shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

Nothing in these Terms affects your rights under the Australian Consumer Law or other applicable consumer protection legislation that cannot be excluded, restricted, or modified by agreement.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

11. Changes to Service

We reserve the right to withdraw, modify, or discontinue any aspect of our Services at any time, including the availability of any features, database, or content, without notice and without liability.

We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. We will make reasonable efforts to notify you of significant changes that materially affect your use of the Services.

From time to time, we may need to perform maintenance or updates to our Services. During these periods, you may experience temporary interruptions or reduced functionality. We will endeavor to schedule maintenance during off-peak hours where possible.

We are not liable for any modification, suspension, or discontinuance of the Services, or any part thereof. Your continued use of the Services following any changes constitutes acceptance of those changes.

12. Disclaimer and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLUXFRONTIER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FluxFrontier does not warrant that:

  • The Services will meet your specific requirements or expectations
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • The quality of any products, services, information, or other material obtained through the Services will meet your expectations
  • Any errors in the Services will be corrected

Any material downloaded or otherwise obtained through the use of the Services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from FluxFrontier or through the Services shall create any warranty not expressly stated in these Terms.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLUXFRONTIER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FLUXFRONTIER TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO FLUXFRONTIER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED AUSTRALIAN DOLLARS (AUD$100), WHICHEVER IS GREATER.

Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement. If the Australian Consumer Law or any other applicable law implies a guarantee or condition into these Terms, and that law prohibits us from excluding or modifying the application of, or our liability under, that guarantee or condition, then our liability will be limited to the extent permitted by law to, at our option:

  • In the case of goods: the replacement of the goods, the supply of equivalent goods, the repair of the goods, the payment of the cost of replacing the goods or acquiring equivalent goods, or the payment of having the goods repaired; or
  • In the case of services: the supply of the services again or the payment of the cost of having the services supplied again.

These Terms constitute the entire agreement between you and FluxFrontier regarding the use of our Services and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.
